End-User License Agreement (EULA)

Please read this End-User License Agreement (“Agreement”) carefully before downloading, installing, or using the minite App. By downloading, installing, or using the minite App, you agree to be bound by the terms and conditions of this Agreement. This Agreement is a legal document between you (“End-User” or “you”) and Virtual Operative Services OÜ (“Company,” “we,” “us,” or “our”) and governs your use of the minite App made available through the App Store.

1. License

Virtual Operative Services OÜ grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the minite App solely on Apple-branded products you own or control, and in accordance with this Agreement and Apple’s Usage Rules, for personal or commercial purposes.

2. Scope of License

This license does not sell the minite App to you. Your rights are licensed, not sold. Your license to use the minite App is subject to the acceptance of this Agreement or a custom end-user license agreement between you and the Company, if applicable. Except as otherwise permitted by Apple’s Usage Rules, you may not:

Modify, adapt, translate, or create derivative works of the minite App;
Reverse engineer, decompile, disassemble, or attempt to discover the source code of the minite App;
Distribute, transfer, or sublicense the minite App without prior written consent from Virtual Operative Services OÜ;
Make the minite App available on any network where it could be used by multiple devices simultaneously;
Remove, alter, or obscure any proprietary notices from the minite App;
Use the minite App for any illegal, unauthorized, or unethical purposes.

3. Intellectual Property Rights

Virtual Operative Services OÜ and its affiliates, partners, suppliers, or licensors retain all intellectual property rights in and to the minite App, including but not limited to copyrights, trademarks, patents, and trade secrets. This Agreement grants you no ownership rights to the minite App.

4. Subscription Services

Subscription Plans: The minite App offers subscription-based services that grant access to premium features. By selecting a subscription plan, you agree to pay all applicable fees as displayed in the subscription menu.

Billing and Payment: Subscription fees are billed in advance on a recurring basis (either monthly or annually) and automatically renew unless canceled. Fees are non-refundable, except where required by law.

Auto-Renewal: Unless canceled before the end of the billing cycle, subscriptions will automatically renew at the current rate. You may manage your subscription, including turning off auto-renewal, in your account settings.

Free Trials: Some subscription plans may include a free trial. If you do not cancel before the trial ends, your account will convert into a paid subscription.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle, and no refunds will be provided for the unused portion of the subscription.

Changes to Subscription: Virtual Operative Services OÜ reserves the right to modify subscription plans, including pricing and features. Any changes will be communicated to you, and you will have the option to accept the changes or cancel your subscription.

5. Data Usage and Privacy

You agree that Virtual Operative Services OÜ may collect and use technical data related to your use of the minite App. This may include but is not limited to information about your device, system software, and peripherals. We may use this data to improve our services, software updates, and to provide you with product support. All data will be handled in compliance with applicable privacy laws.

6. Termination

This Agreement is effective until terminated. Your rights will automatically terminate without notice if you violate any part of this Agreement. Upon termination, you must cease using the minite App and remove it from all your devices.

7. External Services and Third-Party Links

The minite App may provide access to third-party services and websites (“External Services”). You agree to use such services at your own risk. Virtual Operative Services OÜ does not guarantee the content, accuracy, or availability of External Services and is not responsible for any third-party services or content.

8. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MINITE APP AND ANY SERVICES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VIRTUAL OPERATIVE SERVICES OÜ DOES NOT GUARANTEE THAT THE APP WILL BE ERROR-FREE OR AVAILABLE AT ALL TIMES.

9. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, VIRTUAL OPERATIVE SERVICES OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OR INABILITY TO USE THE MINITE APP. IN NO EVENT SHALL OUR LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE MINITE APP.

10. Export Restrictions

You may not use or export the minite App in violation of applicable export laws and regulations, including U.S. export laws. By using the minite App, you represent that you are not in a U.S.-embargoed country and are not on any U.S. government restricted party lists.

11. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the country or jurisdiction where Virtual Operative Services OÜ is incorporated. Any disputes will be resolved in courts within that jurisdiction, unless otherwise stipulated by applicable law.

12. Amendments

Virtual Operative Services OÜ reserves the right to amend this Agreement at any time. Any changes will be communicated to you, and continued use of the minite App signifies acceptance of the amended terms.

“minite, On Demand”

1. Description

“minite, On-Demand” offers four subscription packages:
- Founder Assist (€7/month): AI-driven administrative assistant for day-to-day support.
- Startup Assist (€440/month): AI assist + 22 hours of human virtual assistant (VA) support. Includes all Founder Assist benefits.
- Growth Assist (€840/month): AI assist + 40 hours of VA support. Includes all prior package benefits.
- Scale-up Assist (€1,470/month): AI assist + 70 hours of VA support. Includes all prior package benefits.
2. Pricing and Payment Terms

All subscriptions are billed monthly. Payments are processed at the start of each billing cycle, following the free trial period.

3. Auto-Renewal

Subscriptions renew automatically unless canceled 24 hours before the end of the current billing period. Renewal notifications will be sent 7 days in advance.

4. Free Trials

We offer a promotional 2-month free trial for new users. Standard free trials last 15 days, after which the monthly subscription charge is applied.

5. Cancellation Policy

Subscribers can cancel at any time via their app store account. Cancellations take effect at the end of the current billing cycle, and no refunds are provided for unused services.

6. Subscription Modifications

We reserve the right to adjust subscription pricing or terms, with 7 days’ notice provided to subscribers.

7. Third-Party Billing

Subscription payments are managed by third-party platforms (Apple App Store, Google Play), subject to their specific billing terms.

8. Data Privacy

User data related to subscriptions will be managed according to our Privacy Policy and applicable regulations.

Privacy Policy

The use of the minite App is subject to Virtual Operative Services OÜ’s privacy policy. By using the minite App, you agree to the terms of the privacy policy, which may be updated from time to time.

Disclaimer of Warranties

THE MINITE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. Virtual Operative Services OÜ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL Virtual Operative Services OÜ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE minite BY Virtual Operative Services OÜ APP, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

Indemnification

You agree to indemnify and hold Virtual Operative Services OÜ, its affiliates, partners, suppliers, and the licensors of the minite App harmless from any claim, demand, damages, or expenses (including attorneys’ fees) arising out of or in connection with your use of the minite App.

Termination

Virtual Operative Services OÜ may terminate this Agreement at any time without notice if you fail to comply with any of the terms and conditions of this Agreement. Upon termination, you must immediately stop using the minite App and destroy all copies of the minite App in your possession or control.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law.

Entire Agreement

This Agreement constitutes the entire agreement between you and Virtual Operative Services OÜ with respect to the use of the minite App and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Virtual Operative Services OÜ.

Amendments

Virtual Operative Services OÜ reserves the right to amend this Agreement at any time without notice by posting the amended terms on the Virtual Operative Services OÜ website or within the minite App. Your continued use of the minite App after any such amendment shall constitute your agreement to be bound by the amended terms.

Severability

Assignment

You may not assign or transfer this Agreement, in whole or in part, without the prior written consent of Virtual Operative Services OÜ. Virtual Operative Services OÜ may assign this Agreement, in whole or in part, at any time without notice to you.

Headings

The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.

Acknowledgment

By downloading or using the minite App, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.

This Agreement is effective as of the date you download or use the minite App.
